END USER LICENSE AGREEMENT
 
THIS LICENSE AGREEMENT (the "AGREEMENT") IS BETWEEN YOU (THE INDIVIDUAL OR ORGANIZATION TO WHOM THE LICENSE(S)/PRODUCT KEY(S) IS ISSUED) AND DERIVATIVE INC. ("DERIVATIVE"), a company incorporated under the laws of Ontario, Canada, with offices at 401 Richmond Street West, Suite 386, Toronto, Ontario, Canada M5V 3A8.
 
BEFORE YOU DOWNLOAD, INSTALL OR USE ANY OF THE PRODUCTS (as defined herein), carefully read this Agreement in its entirety. By checking the "I agree to the License terms and conditions" box and/or, downloading, installing or using the Products, all the terms and conditions in this Agreement are legally binding on you as an individual or the organization that you represent. If you do not agree to all of the provisions of this Agreement, or you are not authorized to download, install, or use the Products or to agree to be bound by this Agreement on behalf of your organization, you are not permitted to download, install or use the Software.
The licensee who is bound by this Agreement (the “Licensee”) is: (i) the individual accepting this Agreement, if the individual is licensing the Products for his or her personal use, use as a sole proprietor, or on behalf of a firm, company, or organization; or (ii) the corporation, institution, partnership, organization or other entity (the “Organization”) on whose behalf the individual accepting this Agreement is acting.
 
1.           LIMITED LICENSE
 
a)           In accordance with the terms of this Agreement, Derivative hereby grants to Licensee a limited, non-transferable, non-exclusive license to Permitted Users (defined below in this Section 1) to download, install and use the TouchDesigner and/or TouchPlayer software products, (as applicable, based on the license(s)/product key(s) issued to Licensee) and any updates or modifications to such software products as may be hereinafter provided to Licensee by Derivative, in its sole discretion and subject to any applicable terms regarding support (see Section 9) (collectively, the "Software") in object code or machine-readable code format and scripts, and to use any related documentation provided to Licensee by Derivative (the "Documentation", and together with the Software, collectively, the "Products"). (Any Documentation available on the Derivative website shall be subject to the website Terms and Conditions.) Licensee’s right to download, install and use the Products is limited to those rights expressly set out in this Agreement. Use of the Software (other than non-commercial versions of TouchPlayer) ) requires issuance of a product key linked to a product license. Each product license permits installation and use of the Software on a single computer at a time. To install and use the Software on additional computers, Licensee must obtain additional product licenses and keys. The rights granted under this section apply only to the Licensee and, if the Licensee is an Organization, this includes the Organization’s employees, faculty, agents, directors members, students, or any other third party which is provided access or use of Products by Organization, as applicable (together, the "Permitted Users").
b)           If the Licensee is an Organization, such Licensee shall: (i) cause its Permitted Users to comply with the applicable governing law set out in Section 14 with respect to use of the Products; and (ii) be responsible for the use of the Products, including through access points, by Permitted Users and take all necessary measures to ensure that the Permitted Users use the Products in accordance with the terms and conditions of this Agreement.
 
2.           USE OF LICENSE
 
2.1.        Restrictions on Use. Licensee shall, and will ensure its Permitted Users shall:
i.            not copy, modify or attempt to modify any binary code or scripts that make up the user interface of the Product  without the express written consent of Derivative; except that Licensee may make a reasonable number of copies of the Products for back-up purposes, and Licensee may copy and modify scripts and sample code for use only in TouchDesigner;
ii.           not assign this Agreement or transfer, lease, rent, export, distribute, sublicense or otherwise make available the Products or any right granted under this Agreement except as and when authorized to do so by Derivative in writing;
iii.          not translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of any part of the Products (except where source code is provided by Derivative in which such source code will be subject to the terms it is provided with);
iv.          not use the Products except as authorized herein;
v.           not perform load tests, network scans, penetration tests, ethical hacks or any other security auditing procedures on the Derivative network or the servers and infrastructure on which Derivative’s website resides;
vi.          not remove, obscure or alter any copyright, trade-mark, patent or proprietary notice affixed to the media or packaging of the Software or displayed by or in the Software;
vii.         not use the Software to conduct any competitive analysis of or with the Software;
viii.        not access the Software in order to compete or build a competitive product or service, or impair the market for the Software or any part thereof;
ix.          not attempt to tamper with, alter, disable, hinder, by-pass, override, or circumvent any security, reliability, integrity, accounting or other mechanism, restriction or requirement of the Software;
x.           take all reasonable precautions to prevent third parties from using the Products in any way that would constitute a breach of this Agreement;
xi.          comply with any third party software license terms and conditions in connection with the use of the Products;
xii.         comply with Derivative’s Terms and Conditions, including the Acceptable Use Policy therein, as each may be amended from time to time and are made available on Derivative’s Web site;
xiii.        take appropriate action and employ reasonable security measures to ensure that non-Permitted Users do not use the Product; and
xiv.        use the Products in compliance with all applicable laws, rules, and regulations (including those relating to export, homeland security, anti-terrorism, data protection and privacy).
2.2.        Licensee Responsibilities: Licensee shall be solely responsible for (i) any breach of this Agreement by Permitted Users and any installation or use of the Software by persons other than Permitted Users utilizing Licenses issued to Licensee; (ii) any digital assets or other content that is uploaded to the Software by Permitted Users, including compliance with any restrictions imposed by the author of the content and any violations of intellectual property rights; and (iii) the accuracy, integrity, legality and appropriateness of all content created by Permitted Users using the Software. Licensee shall immediately notify Derivative of any unauthorized installation or use of the Software.
2.3.        Commercial Use: Licensee may not use the Product for any Commercial use if Licensee has not paid the fee for a commercial license to the Software. "Commercial Use" means that the work done with the Products is primarily intended for, or directed toward, commercial advantage, non-monetary and monetary compensation, or compensation in-kind. If the Licensee is compensated for any work that utilized the Products, Licensee is required to purchase a commercial license.
 
3.           OWNERSHIP AND COPYRIGHT
 
3.1.        Licensee acknowledges that Derivative and its licensors are the owners of all intellectual property rights in the Products and any written materials, logos, names and other support materials provided to Licensee by Derivative in connection with the Products. No title to any intellectual property rights (including trade secret rights) in the Products, or any support materials provided to Licensee by Derivative in connection with the Products, is transferred to the Licensee by this Agreement. All rights not expressly granted pursuant to this Agreement are reserved by Derivative.
3.2.        Derivative shall own, and Licensee shall not have any right, title, or interest in, any enhancements or other modifications to the Products created based on any suggestions, enhancement requests, recommendations or other feedback provided by or on behalf of the Licensee or Permitted Users.
 
4.           NO WARRANTY
 
4.1.        The Products are provided "as is" without any representation, warranty or condition of any kind, express or implied, including but not limited to the implied warranties or conditions of title, merchantable quality, fitness for a particular purpose, non-infringement of third party rights and those arising by statute or otherwise in law or equity or from a course of dealing or usage of trade, all of which are specifically disclaimed to the maximum extent permitted by law. The entire risk as to the quality and performance of the Products is with Licensee. Without limiting the generality of the foregoing, Derivative does not warrant that: (i) the Products will meet Licensee needs or requirements; (ii) the Software will run without interruption or be error-free; (iii) without limiting the generality of (ii), any file protection or security features provided by the Software will in any case provide absolute or any given level of protection or security. While Derivative has made reasonable efforts to make the file protection and security features robust, Derivative does not guarantee that they will not be overcome; (iv) the functions contained in the Software will operate in all combinations which may be selected for use by Licensee.
4.2.        Derivative’s entire responsibility and obligation, and Licensee’s exclusive remedy, for the operation of the Software shall be for Derivative to use commercially reasonable efforts to provide support services set out in Section 8 below in order to enable the Software to perform substantially in accordance with Documentation (excluding any errors in the Documentation, as determined by Derivative in good faith).
 
5.           LIMITATION OF LIABILITY
 
DERIVATIVE WILL ONLY BE LIABLE FOR DIRECT DAMAGES, SUBJECT TO SECTION 6. TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, SHALL DERIVATIVE BE LIABLE TO LICENSEE OR ANY OTHER PARTY FOR ANY LOST PROFITS, LOST OR DAMAGED DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES WHATSOEVER, WHETHER ARISING OUT OF, OR IN CONNECTION WITH, THE DOWNLOAD, INSTALLATION OR USE OF, OR THE INABILITY TO USE, THE PRODUCTS OR ANY OTHER MATTER RELATING TO THE PRODUCTS OR THIS AGREEMENT, EVEN IF DERIVATIVE HAD KNOWLEDGE OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF SUCH DAMAGES WERE FORESEEABLE.
Licensee agrees that the maximum aggregate liability of Derivative and its affiliates and their respective directors, officers, employees, agents and representatives for all claims under any and all circumstances relating to the Products under all theories of liability will be limited to the fees paid to Derivative by Licensee in respect of the particular Software license(s)/product key(s) relating to the installations giving rise to such liability in the six (6) month period preceding the claim in respect of such liability.
 
6.           ESSENTIAL TERMS
 
The disclaimer of warranties, limitation of liability and monetary cap on monetary damages in sections 4, 5 and 6 constitute an essential part of this Agreement. A fundamental breach or breach of a fundamental term of this Agreement by Derivative shall not limit the intended effect of sections 4, 5 and 6 or any other provision of this Agreement which is intended to limit Derivative’s liability. Licensee acknowledges that, but for the disclaimer of warranties, limitation of liability and monetary cap on damages, Derivative would not enter into this Agreement.
 
7.           SUPPORT
 
Except for certain license types of the Software where Derivative has expressly stated on the website include a certain amount of support services such as TouchDesigner Pro,  support services for the Products are to be separately arranged between the Licensee and Derivative and may be purchased separately as required by Licensee.
 
8.           CONFIDENTIAL INFORMATION
 
The Products incorporate trade secrets and constitute the confidential information of Derivative and its licensors and Licensee shall use all reasonable efforts (and in any event, efforts that are no less than those used by Licensee to protect its own confidential information) to protect such aspects of the Products from disclosure.
 
9.         TERMINATION
 
This Agreement, and accordingly, Licensee’s license to use the Products, shall terminate upon the earlier of: (i) the term of Licensee’s license, if any; or (ii) failure by Licensee to perform any of its obligations under this Agreement. Upon receipt by Licensee of written notice by Derivative of the termination of this Agreement, Licensee shall immediately stop using the Products and destroy (including, with respect to electronic copies, permanently delete) all copies of the Products in Licensee’s possession or control and provide Derivative, upon request, with written confirmation of such destruction. All sections of this Agreement, other than section 1, shall survive the termination of this Agreement.
 
10.         ASSIGNMENT
 
Derivative may, at any time, without Licensee’s consent, assign this Agreement, or any of its rights hereunder, in whole or in part, to any third party.
Licensee may only assign this Agreement, or any of its rights hereunder, in whole or in part, to any third party, with the prior written consent of Derivative. If Licensee is a developer that is creating work product for a third party and bundling its work product with the Software, Licensee acknowledges that the third party must obtain a license to use the Products. If Licensee intends to assign this Agreement to the end user upon the completion of the work product, Licensee agrees that the assignment of this Agreement shall be done on the terms of Derivative’s form of assignment of license agreement or by e-mail, at Derivative’s sole discretion, and may be subject to an additional transfer fee as determined by Derivative, in its sole discretion. Derivative will indicate its consent of the requested assignment by signing the form of assignment of license agreement or if such request was sent by e-mail, will indicate its rejection or its consent in its response to Licensee’s e-mail.
This Agreement shall enure to the benefit of and be binding upon each of the Licensee and Derivative and their respective heirs, executors, successors, assigns, administrators and legal representatives, as applicable.
 
11.         EMBEDDED SOFTWARE
 
The Software includes open source software, which is distributed under and is subject to the terms and conditions of the applicable open source software licenses and notices, as set out in Exhibit A to this Agreement. Derivative makes no representations or warranties, and there are no conditions, regarding the open source software.
 
12.         CERTIFICATION
 
Within ten (10) days of a request by Derivative, a senior officer, signing authority or other senior official of Licensee shall, after making due inquiry, certify in writing to Derivative, as applicable: (i) that Licensee (and each Licensee Affiliate, as applicable) is, and has continuously been, in full compliance with the terms and conditions of this Agreement, including all applicable restrictions and limitations on installation and use of the Software; or (ii) the extent to which Licensee (or each Licensee Affiliate, as applicable) is not, or has not been, in full compliance with the terms and conditions of this Agreement, including all applicable restrictions and limitations on the installation of Licenses and use of the Software. Licensee shall provide such supporting evidencing as Derivative may reasonably request. For certainty, failure to provide the certification as required by this Section is a material breach of this Agreement that entitles Derivative to terminate this Agreement and to any other remedies that may be available to Derivative at law or in equity.
 
13.         GOVERNING LAW
 
This Agreement shall be governed by and construed in accordance with the laws of Ontario and federal laws of Canada applicable therein and shall be treated, in all respects, as an Ontario contract. The parties submit to the non-exclusive jurisdiction of the courts of Ontario. The parties hereby expressly exclude the application of the United Nations Convention on Contracts for the International Sale of Goods and any implementing legislation.
 
14.         ARBITRATION
 
Any controversy, dispute, or claim that is of a fundamental nature in relation to this Agreement (including the question whether any particular matter is arbitrable hereunder) will be settled by arbitration in accordance with the Arbitration Act of Ontario, 1991, SO 1991, c17  or any statutory modification or re-enactment thereof (the “Act”) by one arbitrator appointed in accordance with the Act.  The arbitrator will sit in Toronto, unless otherwise agreed by the parties. The determination resulting from the arbitration process will be final and binding upon the parties to the arbitration and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.  Notwithstanding the foregoing, any such decision may be appealed to a court of competent jurisdiction based on an error of law or as expressly provided under Section 46(1) of the Act. The Parties agree that the arbitrator shall have the power to award damages, injunctive relief and reasonable solicitors’ fees and expenses to either party in such arbitration; provided that this arbitration provision does not prevent either party from seeking interim injunctive or other equitable relief from a court of competent jurisdiction. If in a disputed matter a party desires a remedy that an arbitrator is unable by law to provide, that matter will be excluded from arbitration. The costs of the arbitration will be borne by the parties as may be specified in the arbitrator’s decision.
 
15.         MISCELLANEOUS
 
15.1.     Entire Agreement. This Agreement, including Exhibit A, and any documents referred to herein or therein, is the entire agreement between Licensee and Derivative pertaining to your right to use the Products and the provision to Licensee by Derivative of any related services, and supersedes all prior or collateral oral or written representations or agreements related thereto.
15.2.     Severability. In the event that one or more of the provisions of this Agreement are held to be illegal or unenforceable, this Agreement shall not be rendered inoperative but the remaining provisions shall continue in full force and effect, unless such illegal or unenforceable provisions are held to be a material part of this Agreement such that it may reasonably assumed that the parties would not have entered into this Agreement without such provisions in place.
15.3.     No waiver. Any waiver of any terms of this Agreement will be effective only if in writing and signed by the parting granting such waiver. Such waiver shall be effective only in the specific instance and for the specific purpose for which it has been given and shall not be deemed or constitute a waiver of any other provisions (whether or not similar) nor shall such waiver constitute a continuing waiver unless otherwise expressly provided. The failure of either party to exercise, and any delay in exercising, any of its rights hereunder, in whole or in part, shall not constitute or be deemed a waiver or forfeiture of such rights, neither in the specific instance nor on a continuing basis. No single or partial exercise of any such right shall preclude any other or further exercise of such right or the exercise of any other right.
15.4.     No Relationship. This Agreement shall not create or confer upon the parties hereto, in any way, or for any purpose, any relationship except that of contracting parties, and in particular does not create a partnership, a principal and agent, nor a joint venture between the Licensee and Derivative or an employer-employee relationship between Licensee and Derivative or any other persons rendering services to Derivative. All dealing by Derivative with its clients, creditors, suppliers, workmen, contractors, agents, employees, and other similar persons shall be conducted exclusively in Derivative’s name and Derivative shall not in any manner obligate Licensee on account thereof, and/or suggest to such persons that Licensee bears any obligation with respect to same.
15.5.     Each party shall comply with the export laws and regulations of Canada, the United States, and other applicable jurisdictions in its provision and, in the case of Licensee, its downloading, installation and use of, the Software. Without limiting the foregoing: (i) each of Derivative and Licensee represents that it is not named on any U.S. or Canadian government list of person or entities prohibited from receiving exports; and (ii) Licensee shall not permit any person to use the Software in violation of any U.S. or Canadian export embargo, prohibition, or restriction.
15.6.     Notices. All notices and consents provided for shall be given in writing and delivered by personal delivery, prepaid first class registered or certified mail, by facsimile, by regular mail or e-mail. Notices delivered by facsimile shall be considered to have been received upon the sender obtaining a bona fide confirmation of such delivery. Notices delivered by e-mail shall include the following, and shall only be effective if the recipient provides by e-mail a confirmation of delivery and date of acceptance of the delivery: (i) sender’s name, address, telephone number, fax number and e-mail address; (ii) date and time of the transmission; and (iii) the name and telephone number of a person to contact in the event of transmission problems. Delivery of notices after 4:00 p.m. at the address being served constitutes delivery the following day. Notices delivered by regular mail shall be deemed received on the fifth day after the notice has been mailed. The address for notice shall be (i) for the Licensee, the address to which Derivative sends the Licensee’s receipt and e-mail addresses on file for the Licensee with Derivative; and (ii) for Derivative, to the business address for its Toronto office set out at https://derivative.ca/contact-us to the attention of Derivative’s President. Licensee shall notify Derivative of a change in its billing address and any change in its corporate name or any business or trade name used in connection with the Software.
